We have participated in tens of M&A processes concluded with transaction (with value ranging from several to several dozen million PLN) as a buy-side advisor. Most of our clients were IT companies including public ones. Each project included a pre-acquisition analysis of the target and transaction structuring.

M&A transactions (sell-side)

As an sell-side advisors to main shareholders we have completed several projects concerning the identification of strategic investors and closing the sale of all or majority of shareholding in the company. Each project included preparation of investment documents and coordination of the entire process (including the negotiations with investors).

We have completed several dozen of due diligence analyses and valuations of potential acquisition targets as part of the M&A advisory services for our clients. We are focusing mainly on technological companies. We use valuation method based on evaluation of Intellectual Capital resources.

Mergers and integration

We have completed several long-term advisory projects concerning mergers and pre- and post-merger integration. The value of merged companies ranged from several dozen to several hundred million PLN. After the merger part of our clients has been a subject of further consolidation and part has remained independent and built a strong capital groups (i.e. COMP).

Long-term strategies

We have completed tens of advisory projects focused on implementation of Value Based Management method as the base for preparation of long-term strategies. We have experience in building long-term strategies for companies in various sectors including IT, TSL, construction, distribution and industry.

IPO strategies

In case of several long-term strategies IPO was the concluding component. We have advised both in terms of strategic issues (like use of funds) and operating processes (coordination of the process, selection of remaining advisors, support in preparation of the IPO documents like Prospectus on securities).

Fundraising

We have raised financing for several technological companies. Each project included preparation of investment memorandum, financial model and coordination of the entire process (including the negotiations with investors).
